Baypark Commercial Capital in Big Spring, Texas wrote this guide for oilfield companies. It explains what the Railroad Commission says about the Form P-5, the related forms, where to search operator records, how renewal works, and how financial assurance and P-5 status can come up when a partner reviews a request. The Commission and counsel decide what applies to a given company.
What Does the Texas Railroad Commission Do Before You Sign a Lease?
The Railroad Commission of Texas regulates the oil and gas industry in the state, along with pipelines and other areas listed on its site. Its requirements and responsibilities pages cover filing the Form P-5, calculating financial assurance and inactive well requirements.
For a company leasing a yard or buying a competitor, the Commission's records show whether a counterparty is a registered organization and its filing status. Check them before signing anything that depends on that status.
Texas Railroad Commission P-5 Form: What It Is and Who Files
The Commission's operator directory page states that all operators engaged in activities regulated by its Oil and Gas Division are required to submit an Organization Report (Form P-5) each year. The same page explains that records of inactive registrations are kept for historical purposes.
Whether a particular service company must file depends on the activities it carries out. That is a question for the Commission and for counsel, not for a funding service.
Texas Railroad Commission P-5 Form Versions: Where to Look Them Up
The Commission's oil and gas forms page lists the Organization Report with online filing available, along with related forms:
- P-5 Address Change.
- P-5O Officer Listing.
- P-5A Organization Report Non-Employee Agent Listing.
- P-5PB Performance Bond.
- P-5LC Irrevocable Letter of Credit.
The forms page also links instructions and a P-5 video. Use the Commission's current version of each form.
Filing a P-5 Online Through RRC LoneSTAR
The Commission's RRC LoneSTAR page lists three current P-5 filings: a new Organization Report to become an operator under the Commission's jurisdiction, a renewal to renew annually as an operator, and a records-only filing to update or correct operator information such as status, officers and address.
The same page says operators must be authenticated users to file, with access requested through the RRC Access Management Process via the organization's Delegated Administrator. It also links a P-5 virtual agent and user guides.
Texas Railroad Commission P 5 Renewal: Timing and Records
- Find the organization's current status in the Commission's records.
- Gather officer, address and agent details that may have changed.
- Confirm the financial assurance on file and whether it needs updating.
- File the renewal through LoneSTAR, or follow the Commission's current instructions.
- Keep a copy of the filing and the Commission's confirmation.
Texas Railroad Commission P-5 Search Before You Sign a Lease or a Purchase
The Commission's operator information page links the Oil and Gas Directory of operator contact information and an organization query. A buyer can check a seller's organization record, and a landlord or customer can check a tenant's or contractor's status.
A record that shows an organization as inactive or delinquent is worth asking about before signing.
Financial Assurance, Letters of Credit and a Funding Request
The forms page lists a performance bond (P-5PB) and an irrevocable letter of credit (P-5LC) under the Commission's rule 3.78. A letter of credit is issued by a bank and can count against the company's credit with that bank, which matters when the same company asks for a line of credit or a term loan.
Ask any partner how existing letters of credit and bonds affect its review. The line of credit page covers how a limit is set.
Keeping P-5 Records Ready for a Buyer, a Customer or a Partner
A company that keeps its organization record current avoids delays when someone else checks it. Keep a file with the latest filed P-5, the confirmation from the Commission, the officer listing, any agent listing and the financial assurance documents on file. When a buyer, an operator customer or a funding partner asks about status, the answer is in one place.
- Note the renewal date on the company calendar.
- Update the officer and address details whenever they change, using the records-only filing.
- Keep the bank's letter of credit or the bond in the same file.
- Record who in the company is the Delegated Administrator for LoneSTAR access.
Where P-5 Status Comes Up When a Partner Reviews an Oilfield Request
A partner financing a pulling unit or a yard reads the company's deposits, customers and equipment. It may also ask whether the company holds the permits and filings its work depends on, since losing them would stop the revenue that pays the loan. The oilfield services page lists the other records, and the equipment financing page covers units.
Local Census counts for the county's oilfield service companies are on the Big Spring, TX page, and the funding types page compares all six options.
The other Big Spring, TX guides are listed on the resources page.
